The following terms and conditions govern the direct sale of products by Cleargo E-Business Consultancy Limited to customers in Hong Kong or persons (“Customer”) accepting delivery. By using this web site and/or accepting delivery of products ordered from Cleargo E-Business Consultancy Limited via this website, Customer agrees to be bound by and accepts these terms and conditions. THESE TERMS AND CONDITIONS SHALL APPLY TO ANY SALE DIRECTLY FROM Cleargo E-BUSINESS CONSULTANCY LIMITED TO CUSTOMER. Products described on this web site are only available to residents of Hong Kong when ordered through this website and Internet Service Provider (ISP) within Hong Kong AND for shipment to an address within Hong Kong.

1. Internal Use

Customer agrees and represents that it is buying products from Cleargo E-Business Consultancy Limited for its own use and not for resale. Cleargo E-Business Consultancy Limited is not responsible nor has liability for any change in configuration, including the addition of hardware and/or software that, Customer may decide to add, remove, or use in concert with products in order to fit a particular purpose or use. Customer shall be responsible for any costs associated with modification or product use. Cleargo E-Business Consultancy Limited is not responsible for modifications that do not meet Customer expectations.

2. Payment Terms, Orders & Quotations

Payment methods accepted by Cleargo E-Business Consultancy Limited are shown in the shopping cart on this site. Payment by credit card shall be subject to authorization from Customer's credit card issuer and such authorization must be received by Cleargo E-Business Consultancy Limited prior to order acceptance, unless some other pre-arranged method of payment has been accepted by Cleargo E-Business Consultancy Limited.

Orders are not binding on Cleargo E-Business Consultancy Limited unless accepted by Cleargo E-Business Consultancy Limited. Acceptance of an order occurs when the product ships. Acknowledgment of receipt of an order does not constitute acceptance of the order by Cleargo E-Business Consultancy Limited. A Product ordered may become unavailable due to product or parts shortages, discontinuance of product, or other reasons. Cleargo E-Business Consultancy Limited is not liable for typographical errors or omissions and mistakes on quotations or prices posted on this website.

Prices shown for all products and accessories do not include charges for shipping and handling, or state recycle fees. Customer is solely responsible for applicable shipping and handling charges, state sales and state recycle fees.

4. Title

Title and risk of loss shall pass to Customer upon shipment from Cleargo E-Business Consultancy Limited's facility. Title to all software and trademarks will remain with the applicable licensor(s).

PHILIPS ELECTRONICS HONG KONG Ltd IS SOLELY RESPONSIBLE FOR ALL WARRANTY, SERVICE, SUPPORT, AND OTHER PRODUCT ISSUES.

6. Limitation of Liability

FOR ANY BREACH OF THESE TERMS AND CONDITIONS, Cleargo E-Business Consultancy Limited'S MAXIMUM LIABILITY SHALL NOT EXCEED THE TOTAL PRICE PAID BY CUSTOMER FOR THE PRODUCTS ORDERED BY CUSTOMER.

IN NO EVENT SHALL Cleargo E-Business Consultancy Limited, ITS PARENT COMPANIES, AFFILIATES, SUPPLIERS AND SERVICE PROVIDERS BE LIABLE TO CUSTOMER OR ANY THIRD PARTY FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOST PROFITS, OR THE LIKE), OR PUNITIVE DAMAGES, WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE AND PRODUCT LIABILITY) OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY A THIRD PARTY.

7. Shipment and Availability

Customer can only order on this website if they are a consumer, not a reseller. Customers have to be at least 18 years of age or older to buy products via this website.

Orders Customers place through this website are only an invitation to Customer to conclude a sales contract. The sales contract is only concluded upon the confirmation by Cleargo E-Business Consultancy Limited’s e-mail to Customer.

Customer warrants that the information Customer provide to Cleargo E-Business Consultancy Limited in the request or order is accurate and complete. Cleargo E-Business Consultancy Limited is never obliged to accept an order. Cleargo E-Business Consultancy Limited is entitled at all times to verify an order in advance or to refuse an order without providing reasons. If Cleargo E-Business Consultancy Limited does not confirm Customer order within ten working days, it is deemed to have been refused.

Cleargo E-Business Consultancy Limited will deliver to the address indicated by Customer within Hong Kong. Cleargo E-Business Consultancy Limited can only deliver to a delivery address which is a home or office address. Deliveries will be done on business days, not being a weekend or a public holiday. Cleargo E-Business Consultancy Limited is entitled, insofar as reasonably possible, to make split deliveries so that Customer receive the ordered products as soon as possible. There are no additional costs associated with such split deliveries. However, in the event that Customer requests that Cleargo E-Business Consultancy Limited deliver the order in parts, Cleargo E-Business Consultancy Limited may charge Customer for extra delivery costs. Each split order shall constitute a separate sales contract. If Cleargo E-Business Consultancy Limited is late delivering a part or one split order is faulty, that will not entitle Customer to cancel any other split order.

If Customer wishes to have their products delivered per express delivery, extra costs shall be charged to Customer. Please check details for standard and express deliveries and the delivery of personalised products on this website. Delivery periods are indicative and are therefore not regarded as strict deadlines. Customer acknowledges that product availability may be limited, and particular products may not be available for immediate delivery. Cleargo E-Business Consultancy Limited will not be liable for any loss, damage or expense related to any delay in shipment or delivery.

8. Return Policies

Philips is the designer and manufacturer of products offered in this Philips online store. By ordering products from [E-STORE LINK], Customer agrees to be bound by Philips Lighting Exchange and Return Terms. If Customer does not agree with any of these Terms, please do not purchase from this Philips online store.

Eligibility of Return

All returns is made case on a case basis and can only be done in person at the Philips Lighting Showroom

Return Procedure

Returns are strictly by on a case-by-case basis. Please contact us for more information (Email: [EMAIL ADDRESS]). All returns, if approved, must be done at our office during opening hours. The address of our office is 5/F, Core Building 1, 1 Science Park East Avenue, Hong Kong Science Park, Shatin, New Territories, Hong Kong.

Damaged and Defective Products

Defective products will be inspected by Philip’s Customer Care Team located at 5/F, Core Building 1, 1 Science Park East Avenue, Hong Kong Science Park, Shatin, New Territories, Hong Kong. If there is any damage to the product as a result of a manufacturing defect or deviation from factory specifications, Philips will undertake to provide an exchange of any defective products.

If the defect in the product was caused by reasons other than materials quality or assembly process, the original product will be returned to Customer and no refund or exchange will be offered. Neither Philips Electronics Hong Kong Ltd. nor Cleargo E-Business Consultancy Limited will refund products that are:

  1. Obtained from a source other than [E-STORE LINK]
  2. Damaged by abuse or negligence (exposure to chemicals, caustic substances, open flame, high heat, sharp object, etc.)
  3. Damaged by misuse or activities other than the intended purpose

Philips Electronics Hong Kong Ltd. will not bear the charges incurred for shipping or transportation for return of goods covered under warranty owing to a manufacturing defect.

9. Accessories

Prior to purchase, Customer is responsible for contacting the accessories manufacturer (or consulting compatibility charts on this web site) to determine the compatibility of specific accessories with Philips branded products. If Customer purchases an accessory in [E-STORE LINK] and determines that the accessory is not compatible with another product, in conflict with the compatibility charts on this website, within seven (7) days after Customer receives the accessory, the accessory may be returned to Philips Electronics Hong Kong Ltd. to the extent permitted under Philips Electronics Hong Kong Ltd. Return Policies above.

If any of these terms and conditions are held to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining terms and conditions shall not in any way be affected or impaired thereby.

Entire Agreement

These terms of sale constitute the entire and sole agreement between Cleargo E-Business Consultancy Limited and Customer and supersedes all prior agreements, representations, warranties and understandings with respect to the subject matter of these terms.
